Compensation
The anticipated base pay compensation range for this position is $146,200.00 – $243,600.00. This role is eligible for an incentive target of up to 20 or , based on the achievement of individual and company performance objectives in accordance with the current terms of the incentive program which are subject to change.

Position Details
The Corporate Counsel Expert provides senior‑level legal support across Grainger's technology ecosystem, supply chain operations, and corporate business functions. The role leads commercial and technology contract negotiations, partners closely with business and procurement leaders, and applies disciplined risk judgment to advance business objectives. The Counsel operates independently within established guardrails and escalates novel or enterprise‑level risk matters to the Associate General Counsel and Business Attorneys as appropriate. The role collaborates, is proactive, operationally minded, and committed to strengthening team capability, communication, and contracting efficiency. This position is located at our Lake Forest, IL office hybrid - 3 days per week in the office is required.
You Will
- Negotiates and drafts a broad range of commercial and technology agreements to enable Grainger’s technology, supply chain, and corporate functions while aligning legal terms to business objectives.
- Structures and negotiates key commercial terms to balance value creation with disciplined risk allocation across pricing, service levels, liability, indemnification, and performance standards.
- Drives matters to timely resolution to maintain business momentum while protecting Grainger’s legal, financial, and operational risk position.
- Serves as a Senior Risk Owner by assessing and managing legal, commercial, and operational risk across complex and high‑impact agreements.
- Exercises delegated risk authority and escalates significant financial exposure, regulatory concerns, or precedent‑setting issues to ensure appropriate enterprise oversight.
- Ensures consistency with Grainger’s contracting standards and risk framework to promote predictability, efficiency, and scalable decision‑making.
- Partners effectively with Procurement, Technology, Security, Supply Chain, Finance, and other stakeholders to surface issues early and deliver practical, business‑focused solutions.
- Strengthens team capability and contracting efficiency by mentoring legal team members, promoting knowledge sharing, and advancing process improvement and technology‑enabled contracting tools.
You Have
- Juris Doctrate required
- 7+ years negotiating commercial and technology agreements required
- Demonstrates the ability to independently lead complex negotiations in support of procurement, technology, supply chain, and enterprise operations.
- Applies strong business judgment to balance legal risk with commercial objectives while aligning outcomes to enterprise standards.
- Operates with a collaborative, solutions‑oriented mindset that positions Legal as responsive, practical, and strategic to business partners.
- Illinois Bar Admission Active BAR Membership Upon Hire required
