Position Details 

The Legal Contract Analyst serves as an important member of the Grainger Contract Center of Excellence, which is responsible for enterprise-wide contracting needs of the company.  We are looking for a Legal Contract Analyst who embraces a curiosity-driven, business-enabling mindset that will assist the business in the drafting, review, and negotiation of agreements. Your primary focus will be supporting the business on government contracting matters, including solicitation responses, customer sales agreements, customer services agreements, and other similar contract vehicles in addition to actively supporting compliance requirements related to our government business, its operations, and underlying regulatory and statutory mandates. You will also support the enterprise on other commercial contracting matters as needed. You will receive appropriate attorney and business support. You will report to the Assistant General Counsel, Contracting Center of Excellence, supporting Grainger government contracts and compliance. This position is hybrid in nature requiring three days per week onsite at the Graigner Lake Forest, IL headquarters.

You Will

Be a contract professional with expertise in federal and nonfederal government contracting work.

Be experienced and familiar with federal acquisition regulations and defense federal acquisition regulation supplements as well as other federal and nonfederal government agency specific regulations.

Be able to draft correspondence, review, analyze, and interpret contract terms and conditions and explain to Grainger team members why certain terms and conditions are acceptable while others, based on Grainger contracting risk tolerance, are not.

Be attentive to detail, organized, a self-starter, and a team player willing to proactively engage Grainger team members and external sources in performance of your assigned projects, research, and work.

Be confident, personable, and capable of negotiating proposals and contracts relating to the sale of products and services while ensuring work product reflects Grainger business objectives, its ability to comply with company policies, legal requirements, customer specifications, and Grainger’s risk tolerance

Assist with the response to and management of government contract requirements, including various statements, certifications, and representations that may be requested in connection with solicitation responses and ongoing contracting compliance.

Draft, review and negotiate, in consultation with the legal department, a variety of standard/routine product and service sales and procurement contracts, ensuring accuracy, clarity, and alignment with the company’s business objectives.

Generate agreements from standard approved templates. Review and apply Grainger approved contract terms and conditions to various contract documents.

Collaborate across-functional teams with a proactive and solution-orientated mindset, including directing the work product of less experienced contract professionals to ensure output is of quality and in accordance with business objectives.

Assist leadership on training employees to ensure understanding of and adherence to contract law, regulations, and policy related to the business.

Liaise with internal business partners and stakeholders to answer questions regarding legal processes, matter status, contract interpretation and application, and other Center of Excellence inquiries.

Work with senior members of Grainger’s Corporate Affairs team on project-based legal assignments and initiatives.

You Have

  • At least a bachelor’s degree from a 4-year accredited university or college.
  • 3+ years of experience in contract management, specialist, or analyst positions, preferably in distribution (industrial, commercial, or retail) or manufacturing.
  • Applicable and relevant contract management certification, such as CPCM, CCCM, FCCM, and CCMA.
  • Strong understanding of government contract terms, legal language, and risk assessment, including familiarity with contract regulations such as FAR, DFARS, GSAR, GSAM.
  • Proven track record in reviewing, revising, and negotiating a diverse range of contracts.
  • Excellent communication, negotiation, and writing skills, with the ability to work effectively with internal and external stakeholders, customers or contractors.
  • Detail-orientated with exceptional organizational and analytical abilities.
  • Integrity and commitment to the highest ethical standards and personal values.
  • A team orientation and “can do” attitude and the ability to get along with diverse corporate professionals and work with personnel at all levels within the organization.
