Position Details:
Reporting to the Vice President Corporate Secretary, you will work directly with the Corporate Secretary and be the primary relationship contact to different functions within the organization, local teams, global entities and our third-party legal service providers. As a Legal Analyst, you will oversee the Vice President Corporate Secretary calendar, assist with additional corporate/transactional, litigation, and product compliance matters including conducting research, developing communication drafts, reviewing intercompany agreements, supporting corporate resolutions, documenting meeting minutes and preparing other legal documents to support tax, treasury, finance, accounting, and corporate development. Lastly, you will manage important corporate information, including corporate M&A and financing due diligence; and communicate legal issues and information to Company managers and employees outside of the Legal Dept.
This position will require three days per week onsite at the Lake Forest, IL Grainger headquarters.
You Will:
- Partner directly with the Corporate Secretary to both support daily calendar management, broader strategic pursuits and daily operations of the team.
- Draft and review corporate documents, including board decks, minutes, resolutions, intercompany agreements, certificates, notices and letters for our tax, treasury, and other departments.
- Provide analysis using financial tools and communicate it to important partners throughout the organization.
- Collaborate with legal, tax, treasury, accounting, and corporate development to support legal entity formation, merger or dissolution processes.
- Prepare and maintain relevant regulatory filings.
- Manage third-party service provider(s) and outside local counsel on legal entity matters for our 100+ international subsidiaries.
- Maintain, update, and organize entity records (hardcopy and electronically in Grainger’s entity management database).
- Addresses communications with local teams globally with questions or tasks.
You Have:
- 5+ years of experience in a global legal department or law firm, in fields of corporate law, corporate finance, corporate governance, mergers and acquisitions, or tax.
- Excellent research skills.
- Conducted legal research on Lexis-Nexis, Westlaw, on the Internet, and other legal research tools.
- Expert in MS Office, MS Word, Excel, Legal Entity Management, e-Billing and matter management, eDiscovery software and ability to use other financial tools.
- Operated with discretion and maintained confidentiality.
- Prioritized multiple tasks in a deadline oriented environment.
- Project management skills.
