POSITION DETAILS

This position offers work from home flexibility 3 to 4 days per week but will require presence at our Lake Forest, IL headquarters 1 to 2 days per week. 

Reporting to the Assistant General Counsel you will support the Corporate Secretary Function by managing the corporate governance and compliance posture of Grainger's 30+ international subsidiaries. You will be the primary relationship contact to different functions within the organization, local teams, global entities and our third-party legal service providers. You will assist with additional corporate/transactional, litigation, and product compliance matters including conducting research, developing communication drafts, reviewing intercompany agreements, supporting corporate resolutions, documenting meeting minutes and preparing other legal documents to support tax, treasury, finance, accounting, and corporate development. As a Senior Paralegal you will manage important corporate information, including corporate M&A and financing due diligence; and communicate legal issues and information to Company managers and employees outside of the Legal Dept.

YOU WILL

  • Draft and review many corporate documents, including minutes, resolutions, intercompany agreements, certificates, notices and letters for our tax, treasury, and other departments.
  • Prepare and maintain relevant regulatory filings.
  • Manage third-party service provider(s) and outside local counsel on legal entity matters for our 30+ international subsidiaries.
  • Advise on legal entity management structures and step plans while collaborating with legal, tax, treasury, accounting, and corporate development to support legal entity formation, merger or dissolution processes.
  • Maintain, update, and organizing entity records (hardcopy and electronically in Grainger's entity management database).
  • Stay current on best practices in entity management, and develop templates, plans and processes.
  • Communicate and process entity data with multiple other external and internal sources (e.g. treasury, tax, and accounting).
  • Conduct legal research on many legal issues.
  • Manage and follow the budget for annual global legal entity management compliance, including generating quarterly status and analysis of external provider account.
  • Prepare corporate documents and reporting for international treasury and tax funding projects.
  • Provide support to Company attorneys in connection with special projects as directed by the Office of the Corporate Secretary.
  • Support Grainger's litigation and product compliance efforts.
  • Cross-trains administrative assistants and paralegals to perform important tasks/processes of the Legal Department.
  • Understand corporate structures, tax, accounting and finance core concepts.

YOU HAVE

  • 5 plus years of applicable work experience.
  • Mastery of organization and prioritization.
  • An understanding of multicultural clients and international laws while ensuring global compliance under a US-centric compliance structure.
  • Worked as a member of a team and collaborated with Legal Department team members and other areas of the business.
  • Improved processes and completed analysis.
  • Experience using legal research tools such as Lexis-Nexis, Westlaw, Internet or other similar tools.
  • Can acquire an in-depth understanding of our business operations and organizational structure.
