Position Overview: This position will be responsible for contract management (including customers, suppliers, and government), to ensure timely completion of contracts, as well as company compliance for all contractual terms. In addition, this position will recommend contractual strategies in line with Imperial’s goals and executing those strategies related to the strategic agreements, including collaboration with key stakeholders and business development leads. 

 

 

Key Responsibilities:

  • Manage high-performing team members, day-to-day contract needs, and train/develop individuals to advance competencies in contract drafting, editing, and negotiating to support business needs.
  • Assist key Imperial stakeholders (includes Executive Leadership, Sales, Procurement, and various other Operations teams) with negotiating contracts to achieve Imperial’s financial objectives.
  • Negotiate business contract language directly with external customers as needed.
  • Draft, edit, and propose custom contract language and documents, including sales agreements, subscription agreements, supplier agreements, and other complex commercial agreements that establish business relationships with customers, suppliers, and partners.
  • Identify and communicate potential risks within contracts to Imperial stakeholders.
  • Oversee communication to necessary internal personnel upon execution of contracts to ensure business is operating within compliance. Identify operational/process gaps that place organization at risk of being non-compliant.
  • Ensure system maintenance requirements are met. Escalate contract needs to Director, Contracts & Compliance as needed.
  • Maintain training materials and training plans to meet the needs of the business, team members and sales objectives. Partner with Director Contracts & Compliance to effectively manage CLM (Contract Life Management) software and relationship with vendor.
  • Recommend changes to standard contractual terms based on evolving market conditions and company needs.
  • Proactively share best practices and lessons learned from on-going and closed negotiations.
  • Act as liaison between business stakeholders and Grainger legal team as needed.

 

Required Skills: Subject matter expert with knowledge of drafting, editing, and negotiating contract language. Soft skills needed are communication (with internal and external partners), confidence with providing recommendations to executive leaders, organization, leadership, time management and ability to adapt to changing priorities. Ability to work in fast-paced environment. Experience with mapping processes, SOP creation, and training.

Minimum Education and Experience:  Requires a BA/BS in a business-related area or equivalent work experience. 2-3 years’ experience working with contracts or legal background.  Previous people leader experience.
